Pro Contractors Club Privacy Policy Statement

At Pro Contractors Club, we pride ourselves on our commitment to protecting your privacy.  Our Data Principles reflect our company’s values and how we strive to maintain your privacy. This Privacy Statement describes in greater detail the privacy practices of Pro Contractors Club Inc. and its affiliates and subsidiaries, meaning companies related by common ownership or control (“us,” “we,” “our”) responsible for collecting and maintaining certain information collected about you.

  1. WHEN THIS PRIVACY STATEMENT APPLIES.

This Privacy Statement (“Statement”) applies to our sites, products, and services (collectively, “Services”) that link to this Statement. Pro Contractors Club Inc. is the responsible entity for all Personal Information subject to this Statement for our Services targeted to US customers. We also provide Services in other countries and regions.

  1. WHAT WE DO WITH YOUR INFORMATION. We want to be clear about what information we collect and how we use it to deliver our Services to you, improve your business, operate our business, and help make our Services useful, more intelligent, and work better for you. We do not sell or share your Personal Information with third parties for their own commercial uses without your consent.
  1. a) Types of Information We Collect. In connection with accessing our Services, we may collect information from you which can be used to identify you (“Personal Information”), such as your name, shipping/billing address, email address, phone, username and password.We collect information when you register or open an account, sign in, pay a bill, purchase a Service, call us for support, or give us feedback.  We may also get information from other companies or third parties, such as when you sync a third party account or service with your Pro Contractors Club Service, or when we may use service providers to supplement the Personal Information you give us (e.g., validate your mailing address) to help us maintain the accuracy of your data and provide you with better service. Finally, we also collect content or other information that you may provide or create when you interact with our Services.

    We may also automatically collect certain usage information when you access our Services (“Usage Data”), such as Internet Protocol (“IP”) addresses, log files, unique device identifiers, pages viewed, browser type, any links you click on to leave or interact with our Services, and other usage information collected from cookies and other tracking technologies. For example, we collect IP addresses to track and aggregate non-personal information, such as using IP addresses to monitor the regions from which users navigate to our Services.  We also collect IP addresses from users when they log into the Services as part of our log-in and security features.  We may also, when you enable location-based Services, collect Global Positioning System (GPS) location data and/or motion data.

    Our Services may change over time and we may introduce new features that may collect new or different types of information.

  1. b) How We Use Your Information. Unless prohibited by law, regulation, or a contractual obligation, we may use your information, including your Personal Information, for the following purposes:

Account Registration. We may use your name, address, phone number, and email address to register your Pro Contractors Club Account for certain Services we provide and to communicate important information to you. We may obtain additional Personal Information about you, such as address change information, from commercially available sources, to keep our records current.  If you set up an administrator account that may be accessed by people other than you, please note that they may see and have the ability to change or delete your Personal Information.

Communicate with You and Tell You About Other Services.  We may use your information to communicate with you about our Services and to give you offers for third party products and services that we think may be of use to you.

To Improve Services and Develop New Services. We will use your information to personalize or customize your experience and the Service, develop new features or services, and to improve the overall quality of Pro Contractors Club’s Services.

To Provide Our Services and Operate Our Business. We may use your information to operate our business, including providing Services you requested, provide you with support related to our Services, and to help us protect our Services, including to combat fraud and protect your information.

Customer Service and Technical Support.  We may use your name, address, phone number, email address, how you interact with our Services, and information about your computer configuration to resolve questions you may have about our Services and to follow up with you about your experience.  We also offer Internet chat services, for example, to speak with an Pro Contractors Club support representative.  Internet Chat transmissions are encrypted but you should not supply more Personal Information, than is required to address your specific issue. A transcript of the session is retained to resolve questions or issues related to our Services.

Feedback. We may use any information you volunteer in surveys you answer for us and combine them with answers from other customers in order to better understand our Services and how we may improve them.  Answering any survey is optional.

Research, Including Publishing or Sharing Combined Information from Many Users, But Only in a Way that Would Not Allow You or Any Other Person to be Identified. Only in a way that would not allow you or any other person to be identified, we may prepare and share information about our customers with third parties, such as advertisers or partners, for research, academic, marketing and/or promotional purposes.  For example, we may share demographic data that describes the percentage of our customers who use services or who use a particular product. We or our third party partners may publicly report the aggregated findings of the research or analysis, but only in a way that would not allow you or any other person to be identified.

  1. c) Pro Contractors Club Sign-On (Pro Contractors Club Account).Pro Contractors Club Sign-on is a Service that allows you to sign-in to a variety of Pro Contractors Club Services with a single Pro Contractors Club Account titled My Dashboard. We will collect certain information for security purposes in order to verify your authorized access to an account or to reset your password if you cannot access your Pro Contractors Club account. Some Services may require added security and you may be asked to provide additional information.  The email address and password that you use to sign up for an Pro Contractors Club account are your “credentials” that you will use to authenticate with our network.  We assign a unique ID number to your credentials to track you and your associated information.  Pro Contractors Club Services do not allow sharing of accounts between users or individuals.
  1. d) How We Share Your Personal Information. From time to time, we may need to share your Personal Information with others.

Third Party Service Providers. We may share your information, including Personal Information and Usage Data, with third party service providers who perform various functions to enable us to provide our Services and help us operate our business, such as website design, sending email communications, fraud detection and prevention, customer care, or performing analytics. Our contracts with these third parties require them to maintain the confidentiality of the Personal Information we provide to them, only act on our behalf and under our instructions, and not use Personal Information for purposes other than the product or service they’re providing to us or on our behalf. Pro Contractors Club may set up external supplier accounts on your behalf within its Easy One Step application through partnerships to allow you access for purchasing materials to be used within the Real Time Office application. All such third parties are prohibited from using your personal information except to provide these services to Pro Contractors Club, and they are required to maintain the confidentiality of your information.

Response to Subpoenas and Other Legal Requests.  We may share your information with courts, law enforcement agencies, or other government bodies when we have a good faith belief we’re required or permitted to do so by law, including to meet national security or law enforcement requirements, to protect our company, or to respond to a court order, subpoena, search warrant, or other law enforcement request.

Protection of Pro Contractors Club and Others. We may share account information, Personal Information and Usage Data when we believe it is appropriate to enforce or apply our products’ Terms of Service and other agreements; or protect the rights, property, or safety of Pro Contractors Club, our Services, our users, or others.  This includes exchanging information with other companies and organizations for fraud protection and credit risk reduction.  This does not include selling, renting, sharing, or otherwise disclosing Personal Information of our customers for commercial purposes in violation of the commitments set forth in this Privacy Statement.

Reporting to Credit Bureaus.  We may share your information with credit bureaus, consumer reporting agencies, and card associations.  Late payments, missed payments, or other defaults on your account may be reflected in your credit report and consumer report.  We may also share your information with other companies, lawyers, credit bureaus, agents, government agencies, and card associations in connection with issues related to fraud, credit, or debt collection.

Information Sharing Between Pro Contractors Club Entities. We share your information, including your Personal Information, with and among our affiliates and subsidiaries, except where prohibited by law, regulation, or a contractual obligation.  The protections provided in this Privacy Statement apply across all Pro Contractors Club entities. Affiliates and subsidiaries means companies related by common ownership or control. The reasons why we share your information include for our everyday business purposes, such as to: process your transactions, maintain your accounts, operate our business, facilitate Pro Contractors Club Sign On to your Pro Contractors Club Account, etc. We will also share your information in order for us to be able to offer our products and services to you. We may also share information about your creditworthiness, your transactions and experience so that we can operate our business effectively, detect and prevent fraud, and improve our Services.

Sale of Our Business.  If we sell, merge, or transfer any part of our business, we may be required to share your information. If so, you will be asked if you’d like to stop receiving promotional information following any change of control.

With your Consent. Other than as set out above, we will provide you with notice and the opportunity to choose when your Personal Information may be shared with other third parties.

  1. e) Syncing, Linking, Connecting Other Third Party Services with Your Pro Contractors Club Service.We work with other companies or developers to offer you products and services and you may choose to sync, link or connect other third party services with your Pro Contractors Club Service.  Sometimes Pro Contractors Club may let you know about the service or product, or another company may let you know about a Pro Contractors Club service or product.  It will be clear who is referring the service or product, and who is providing the service or product.  If you choose to accept these services, providing your consent to either the third party or to us, we may exchange your information, including your Personal Information, as well as information about how you interact with each company’s service or product.  This exchange of information is necessary to maintain business operations and to provide the ongoing service you’ve requested.  By requesting or accepting these products or services, you are permitting us to provide your information, including your Personal Information, to the other party.
  1. WHAT YOU CAN DO TO MANAGE YOUR PRIVACY. You can view and edit information that identifies you online through your Pro Contractors Club Service. How you can access and control information that identifies you will depend on which Services you use. You have a choice about the use of information that identifies you, marketing communications you receive from us, and our use of cookies and other tracking technologies. 
  1. a) Managing Marketing Communications from Us. We will honor your choices when it comes to receiving marketing communications from us.

You have the following choices if you have been receiving marketing communications from us that you no longer wish to receive:

  • Click the “unsubscribe” link in the email or newsletter you received.
  • Adjust your preferences in your Pro Contractors Club account settings.
  • For SMS messages, reply “STOP” or follow the instructions in the message or settings to discontinue the Service.
  • Subject to your control, our mobile applications may send push notifications to your mobile device.  If you are receiving push notifications and no longer wish to receive these types of communications, you may turn them off at the device level.
  • Remember that even if you choose not to receive marketing communications from us, we will continue to send you mandatory service or transactional communications.
  1. b) Updating Your Personal Information. In connection with your right to manage your Personal Information you provide to us, you may access, update, change, correct or request deletion of your information either through the Service or through our customer support.  You can reach our customer support by using the contact information provided in the “Contact Us” section of this statement.
  1. c) Cookies and Similar Tracking Technologies. The following is a high-level summary of our practices and your controls for cookies and other tracking technologies.  For more information, please see our policy.

In accordance with applicable law, Pro Contractors Club and our service providers may use commonly-used tools to recognize your visit and track your interactions with our Services such as cookies, web beacons, pixels, local shared objects, and similar technologies (collectively, “Cookies”).  Sometimes this tracking is necessary in order for us to provide you the Service you requested.  Other times, we combine Usage Data collected from Cookies with that of other customers to improve your and other customers’ experience.  You have control over some of the Usage Data we collect from Cookies and how we use it.  Information on changing your browser settings to opt out of Cookies can be found in your browser settings.

In accordance with the Digital Advertising Affiliate, Pro Contractors Club also uses advertising networks and other third parties to display advertising on our website or to manage our advertising on other sites.  Our third party partners may place Cookies on our Services and unaffiliated websites in order to serve advertisements that may be relevant to you based on your browsing activities and interests, and to determine the effectiveness of such advertisements.

You also have the following additional choices to opt-out of certain tracking through Cookies for such purposes:

Please note that even if you opt-out of such Cookies or otherwise opt-out of interest based advertising, you may still receive advertisements, they just won’t be tailored to your interests.  Also, if you opt-out and later delete your Cookies, use a different browser, or buy a new computer, you may need to renew your opt-out choices.

  1. d) Do Not Track. Like most other companies, our Services are not currently configured to respond to browsers’ “Do Not Track” signals because at this time no formal “Do Not Track” standard has been adopted.  Click here for more information on “Do Not Track.”
  1. e) Social Media Features. Many of our Services may use social media features, such as Facebook sharing (“Social Media Features”).  These features may collect your IP address and which page you are visiting within our Service, and may set a cookie to enable the feature to function properly.  Social Media Features are either hosted by a third party or hosted directly on our Services.  Your interactions with these features are governed by the privacy statement of the company providing the relevant Social Media Features.
  1. DATA RETENTION AND YOUR ACCESS RIGHTS
  2. a) Data Retention. In accordance with and as permitted by applicable law and regulations, we will retain your information as long as necessary to serve you, to maintain your account for as long as your account is active, or as otherwise needed to operate our business.  When you close your account, we may continue to communicate with you about our Services, give you important business updates that may affect you, and let you know about products and services that may interest you, unless you have opted out of receiving marketing communications.  We may also continue to use some of your information for business purposes and to improve our offerings or in some cases to develop new ones.  We will retain and use your information as required by applicable regulations and Pro Contractors Club’s records and information management policies to comply with our legal and reporting obligations, resolve disputes, enforce our agreements, complete any outstanding transactions and for the detection and prevention of fraud.
  1. b) Your Access Rights. 
  • If you have created an online account with us and would like to update the Personal Information you have provided to us, you can access your account to view and make changes or corrections to your Personal Information.
  • EU individuals and Swiss individuals have certain rights to access Personal Information about them, and to limit use and disclosure of their Personal Information.  With our Privacy policy (discussed below in Section 8), Pro Contractors Club has committed to respect those rights. If you wish to request access, to limit use, or to limit disclosure, please contact us at [email protected] or the mailing address provided under “Contact Us” and please provide the name of the Pro Contractors Club customer who submitted your Personal Information to our services.  We will refer your requests to that customer and will support them as needed in responding to your request.
  1. SECURITY OF YOUR INFORMATION.  Keeping your Information safe is important to us.  You can find out more about how Pro Contractors Club protects your information.

We provide reasonable and appropriate security measures in connection with securing Personal Information we collect.

For example, we:

  • Constantly work to update our security practices to implement accepted best methods to protect your Personal Information and review our security procedures carefully.
  • Comply with applicable laws and security standards.
  • Securely transmit your sensitive Personal Information.
  • Train our staff and require them to safeguard your data.
  • Transmit, store, protect, and access all cardholder information in compliance with the Payment Card Industry’s Data Security Standards.
  1. EU-US PRIVACY SHIELD.  Pro Contractors Club complies with the E.U. – U.S. and Swiss-U.S. Privacy Shield Framework.

We may transfer your personal information to and process and store your information in other countries in compliance with applicable law. Some of these countries may have data protection laws that are different from the laws of your country (and, in some cases, may not be as protective). However, we have taken appropriate safeguards to require that your personal information remain protected. When Pro Contractors Club transfers your personal information from the EEA or Switzerland to a non-EAA country, we rely on one or more of the following legal mechanisms: EU-U.S. Privacy Shield, Swiss-U.S. Privacy Shield, European Commission approved Standard Contractual Clauses, and your consent in limited circumstances.

Please review any changes carefully. If you object to any of the changes and no longer wish to use our Services, you may close your account(s). All changes are effective immediately upon posting and your use of our Service after a notice of material change or posting of an updated Privacy Statement shall constitute your consent to all changes.

  1. COLLECTION AND USE OF CHILDREN’S PERSONAL INFORMATION.  We do not knowingly collect information from minors.

Pro Contractors Club Services are intended for and directed to adults. Our Services are not directed to minors and we do not knowingly collect Personal Information from minors.

Real Time Pro Contractors Club Services Terms and Conditions

These terms and conditions create a contract (herein “Agreement”) between you and Real Time Pro Contractors Club (herein “Pro Contractors Club”). Please read this Agreement carefully. To confirm your understanding and acceptance of the Agreement, click “Agree.”

  1. INTRODUCTION TO OUR SERVICES

This Agreement governs your use of Pro Contractors Club’s services through which you can buy, get, license, rent or subscribe to the services (herein “Services”), and other Pro Contractors Club services (herein “Content”). Our Services are: Real Time Pro Contractors Club Memberships, Real Time Pro Contractors Club EBooks, Real Time Pro Contractors Club Workshops, and Real Time Pro Contractors Club News. Real Time Pro Contractors Club Partners & Benefits Program. Our Services are available for your use in your country of residence (herein “Home Country”). To use our Services, you need compatible hardware, software (latest version recommended and sometimes required) and possibly Internet access (fees may apply). Our Services’ performance may be affected by these factors.

  1. USING OUR SERVICES, PAYMENTS, TAXES, AND REFUNDS

You can acquire Content on our Services for free or for a charge, either of which is herein referred to as a “Transaction.” Each Transaction is an electronic contract between you and Pro Contractors Club, and/or you and the entity providing the Products or Services. However, if you are a customer of Pro Contractors Club and you acquire an Ebook, Workshop class, Pro Contractors Club is the merchant of record; this means that you acquire the Content from Pro Contractors Club, and it is licensed by the Provider (as defined below) or book publisher.

Manage your password settings at any time by following these instructions as listed when you log in. Pro Contractors Club will charge your payment method (such as your credit card, debit card, gift card/code, or other method available in your Home Country) for any paid Transactions, including any applicable taxes. If Pro Contractors Club cannot charge your payment method for any reason (such as expiration or insufficient funds), you remain responsible for any uncollected amounts, and Pro Contractors Club will attempt to charge the payment method as you may update your payment method information. If you pre-order Content, you will be charged when the Content is delivered to you (unless you cancel prior to the Content’s availability). In accordance with local law, Pro Contractors Club may update information regarding your payment method if provided such information by your financial institution. For details about how Transactions are billed, please visit https://www.ProContractors Club.com All Transactions are final. Content prices may change at any time. If technical problems prevent or unreasonably delay delivery of Content, your exclusive and sole remedy is either replacement of the Content or refund of the price paid, as determined by Pro Contractors Club. From time to time, Pro Contractors Club may refuse a refund request if we find evidence of fraud, refund abuse, or other manipulative behavior that entitles Pro Contractors Club to a corresponding counterclaim.

REAL TIME PRO CONTRACTORS CLUB ID

Using our Services and accessing your Content requires a Real Time Pro Contractors Club ID. A Real Time Pro Contractors Club ID is the account you use across Pro Contractors Club’s ecosystem. Your Real Time Pro Contractors Club ID is valuable, and you are responsible for maintaining its confidentiality and security. Pro Contractors Club is not responsible for any losses arising from the unauthorized use of your Real Time Pro Contractors Club ID. Please contact Pro Contractors Club if you suspect that your Real Time Pro Contractors Club ID has been compromised. You must be age 18 (or equivalent minimum age in your Home Country, as set forth in the registration process) to create a Real Time Pro Contractors Club ID and use our Services.

SERVICES AND CONTENT USAGE RULES

Your use of the Services and Content must follow the rules set forth in this section (“Usage Rules”). Any other use of the Services and Content is a material breach of this Agreement. Pro Contractors Club may monitor your use of the Services and Content to ensure that you are following these Rules.

All Services:

– You may use the Services and Content for personal, or commercial purposes (except as set forth in the Digital Store Content section below).

– Pro Contractors Club’s delivery of Content does not transfer any promotional use rights to you, and does not constitute a grant or waiver of any rights of the copyright owners.

– You can use Content and Services on one Pro Contractors Club membership as purchased.

– It is your responsibility not to lose, destroy, or damage Content. We encourage you to back up your data regularly.

– You may not tamper with or circumvent any security technology included with the Services.

– You may access our Services only using Pro Contractors Club’s software login, and may not modify or use modified versions of such software.

Video/ Workshop Content:

– Content rentals are viewable on a single device at a time, and must be played within 30 days.

– You may not burn a video/workshop to CD for listening purposes or distribution.

Digital Store Content:

– The term “Digital Store Content” includes Pro Contractors Club memberships, software purchases, badges, and subscriptions made available in the online digital store.

– You can use software on one device that you own or control.

– Individuals acting on behalf of a commercial enterprise, governmental organization or educational institution (an “Enterprise”) may download and sync our software for use by either (i) a single individual on one or more devices owned or controlled by an Enterprise; or (ii) multiple individuals on a single shared device owned or controlled by an Enterprise. For the sake of clarity, each device used serially or collectively by multiple users requires a separate license for each device.

Real Time Pro Contractors Club E-Books Content:

– You may not burn Pro Contractors Club EBooks or Workshop Content to disk or digital file.

Real Time Pro Contractors Club Memberships:

– An Individual Pro Contractors Club membership solely allows you benefits of the club to whom the membership is issued to,

REDOWNLOADS

You may be able to redownload previously acquired Content (“Redownload”) to your devices that are signed in with the same Real Time Pro Contractors Club ID (“Associated Devices”). Content may not be available for Redownload if that Content is no longer offered on our Services.

Associated Devices Rules: Only a maximum of 1 computers signed in with your Real Time Pro Contractors Club ID at one time. Each computer must also be authorized using the same Real Time Pro Contractors Club ID.

SUBSCRIPTIONS & PARTNERSHIPS

These Services may allow you to purchase access to Content or services on a subscription basis (“Paid Subscriptions”). Paid Subscriptions automatically renew until cancelled in the Manage Subscriptions section of your account settings. Pro Contractors Club will notify you if the price of a Paid Subscription increases and, if required, seek your consent to continue. You will be charged no more than 24 hours prior to the start of the latest Paid Subscription period. If Pro Contractors Club cannot charge your payment method for any reason (such as expiration or insufficient funds), and you have not cancelled the Paid Subscription, you remain responsible for any uncollected amounts, and Pro Contractors Club will attempt to charge the payment method as you may update your payment method information. This may result in a change to the start of your next Paid Subscription period and may change the date on which you are billed for each period. Certain Paid Subscriptions may offer a free trial prior to charging your payment method. If you decide to unsubscribe from a Paid Subscription before Pro Contractors Club starts charging your payment method, cancel the subscription before the free trial ends.

CONTENT AND SERVICE AVAILABILITY

Terms found in this Agreement that relate to Services, Content types, features or functionality not available in your Home Country are not applicable to you unless and until they become available to you.

NON-WINDOWS DEVICES

If you decide to use Real Time Office software Services on a non-WINDOWS branded device, you will not be able to access any features or Content. If you later choose to access Services from a Windows branded device, you agree that all terms of this Agreement will apply to your use on such device.

 

  1. YOUR SUBMISSIONS TO OUR SERVICES

Pro Contractors Club Services may allow you to submit materials such as comments, pictures, videos, and podcasts (including associated metadata and artwork). Your use of such features must comply with the Submissions Guidelines below, which may be updated from time to time. If you see materials that do not comply with the Submissions Guidelines, please use the Report a Concern feature. You hereby grant Pro Contractors Club a worldwide, royalty-free, perpetual, nonexclusive license to use the materials you submit within the Services and related marketing, and Pro Contractors Club internal purposes. Pro Contractors Club may monitor and decide to remove or edit any submitted material.

Submissions Guidelines: You may not use the Services to:

– post any materials that you do not have permission, right or license to use;

– post objectionable, offensive, unlawful, deceptive or harmful content;

– post personal, private or confidential information belonging to others;

– request personal information from a minor;

– impersonate or misrepresent your affiliation with another person, or entity;

– post or transmit spam, including but not limited to unsolicited or unauthorized advertising, promotional materials, or informational announcements;

The Services and Products can recommend content to you based on your background, purchases and other activities. You may opt out from receiving such recommendations.

Some recommendation features may require your permission before they are allowed. If you allow these features, you will be asked to give Pro Contractors Club permission to collect and store certain data, including but not limited to data about your profile, company, location, and purchase history. Please carefully read the information presented when you turn on these features.

ANNUAL MEMBERSHIPS

An Annual Membership allows you to purchase and receive Content as it becomes available. If automatic renewal is selected when you obtain an Annual Membership, you will be charged the full price of each subsequent annual membership cycle. You can turn off automatic renewal prior to the beginning of the next cycle in your account by notification.

LICENSE OF DIGITAL STORE CONTENT

Membership licenses are provided to you by Pro Contractors Club. If you are a customer of Pro Contractors Club the merchant of record is Pro Contractors Club, which means that you acquire the Membership license from Pro Contractors Club, but the additional services or benefits purchased are licensed or purchased from that Provider. A purchased benefit or membership licensed by Pro Contractors Club is a “Real Time Pro Contractors Club membership” a service licensed by a Provider is a “Third Party.” Pro Contractors Club acts as an agent for Service Providers in providing the Pro Contractors Club and is not a party to the sales contract or user agreement between you and the secondary Provider. Any provider that you acquire is governed by the Licensed Application End User License Agreement (“Standard EULA”) set forth below, unless Pro Contractors Club or the Provider provides an overriding custom license agreement (“Custom EULA”). The Provider of any Third Party is solely responsible for its content, warranties, and claims that you may have related to the Third Party. You acknowledge and agree that Pro Contractors Club is a third-party beneficiary of the Standard EULA or Custom EULA applicable to each Third Party and may therefore enforce such agreement.

 

MAINTENANCE AND SUPPORT

Pro Contractors Club is responsible for providing maintenance and support for Real Time Pro Contractors Club Membership network only, or as required under applicable law. Providers are responsible for providing maintenance and support for those Third Party services.

 

LICENSED APPLICATION END USER LICENSE AGREEMENT

Providers and services made available through the Pro Contractors Club are licensed, not sold, to you. Your license to each Provider is subject to your prior acceptance of either this Licensed Application End User License Agreement (“Standard EULA”), or a custom end user license agreement between you and the Application Provider (“Custom EULA”), if one is provided. Your license to any Pro Contractors Club membership under this Standard EULA or Custom EULA is granted by the Pro Contractors Club, and your license to any Third Party Provider under this Standard EULA or Custom EULA is granted by the Service Provider of that Third Party. Any Provider that is subject to this Standard EULA is referred to herein as the “Licensed Application.” The Application Provider or the Pro Contractors Club as applicable (“Licensor”) reserves all rights in and to the Licensed Application not expressly granted to you under this Standard EULA.

  1. Scope of License: Licensor grants to you a nontransferable license to use the Licensed Application on any Pro Contractors Club-branded products that you own or control and as permitted by the Usage Rules. The terms of this Standard EULA will govern any content, materials, or services accessible from or purchased within the Licensed Application as well as upgrades provided by Licensor that replace or supplement the original Licensed Application, unless such upgrade is accompanied by a Custom EULA. Except as provided in the Usage Rules, you may not distribute or make the Licensed Application available over a network where it could be used by multiple devices at the same time. You may not transfer, redistribute or sublicense the Licensed Application and, if you sell your Device to a third party, you must remove the Licensed Application from the Device before doing so. You may not copy (except as permitted by this license and the Usage Rules), reverse-engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Licensed Application, any updates, or any part thereof (except as and only to the extent that any foregoing restriction is prohibited by applicable law or to the extent as may be permitted by the licensing terms governing use of any open-sourced components included with the Licensed Application).
  2. Consent to Use of Data: You agree that Licensor may collect and use technical data and related information—including but not limited to technical information about your device, system and application software, and peripherals—that is gathered periodically to facilitate the provision of software updates, product support, and other services to you (if any) related to the Licensed Application. Licensor may use this information, as long as it is in a form that does not personally identify you, to improve its products or to provide services or technologies to you.
  3. Termination. This Standard EULA is effective until terminated by you or Licensor. Your rights under this Standard EULA will terminate automatically if you fail to comply with any of its terms.
  4. External Services. The Licensed Application may enable access to Licensor’s and/or third-party services and websites (collectively and individually, “External Services”). You agree to use the External Services at your sole risk. Licensor is not responsible for examining or evaluating the content or accuracy of any third-party External Services, and shall not be liable for any such third-party External Services. Data displayed by any Licensed Application or External Service, including but not limited to financial, and location information, is for general informational purposes only and is not guaranteed by Licensor or its agents. You will not use the External Services in any manner that is inconsistent with the terms of this Standard EULA or that infringes the intellectual property rights of Licensor or any third party. You agree not to use the External Services to harass, abuse, stalk, threaten or defame any person or entity, and that Licensor is not responsible for any such use. External Services may not be available in all languages or in your Home Country, and may not be appropriate or available for use in any particular location. To the extent you choose to use such External Services, you are solely responsible for compliance with any applicable laws. Licensor reserves the right to change, suspend, remove, disable or impose access restrictions or limits on any External Services at any time without notice or liability to you.
  5. NO WARRANTY: YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE LICENSED APPLICATION IS AT YOUR SOLE RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSED APPLICATION AND ANY SERVICES PERFORMED OR PROVIDED BY THE LICENSED APPLICATION ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND LICENSOR HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE LICENSED APPLICATION AND ANY SERVICES, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY, OF SATISFACTORY QUALITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF ACCURACY, OF QUIET ENJOYMENT, AND OF NONINFRINGEMENT OF THIRD-PARTY RIGHTS. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY LICENSOR OR ITS AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY. SHOULD THE LICENSED APPLICATION OR SERVICES PROVE DEFECTIVE, YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON APPLICABLE STATUTORY RIGHTS OF A CONSUMER, SO THE ABOVE EXCLUSION AND LIMITATIONS MAY NOT APPLY TO YOU.
  6. Limitation of Liability. TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR PERSONAL INJURY OR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE LICENSED APPLICATION, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR PERSONAL INJURY, OR OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU. In no event shall Licensor’s total liability to you for all damages (other than as may be required by applicable law in cases involving personal injury) exceed the amount of fifty dollars ($50.00). The foregoing limitations will apply even if the above stated remedy fails of its essential purpose.
  7. You may not use or otherwise export or re-export the Licensed Application except as authorized by United States law and the laws of the jurisdiction in which the Licensed Application was obtained. In particular, but without limitation, the Licensed Application may not be exported or re-exported (a) into any U.S.-embargoed countries or (b) to anyone on the U.S. Treasury Department’s Specially Designated Nationals List or the U.S. Department of Commerce Denied Persons List or Entity List. By using the Licensed Application, you represent and warrant that you are not located in any such country or on any such list. You also agree that you will not use these products for any purposes prohibited by United States law, including, without limitation, the development, design, manufacture, or production of nuclear, missile, or chemical or biological weapons.
  8. The Licensed Application and related documentation are “Commercial Items”, as that term is defined at 48 C.F.R. §2.101, consisting of “Commercial Computer Software” and “Commercial Computer Software Documentation”, as such terms are used in 48 C.F.R. §12.212 or 48 C.F.R. §227.7202, as applicable. Consistent with 48 C.F.R. §12.212 or 48 C.F.R. §227.7202-1 through 227.7202-4, as applicable, the Commercial Computer Software and Commercial Computer Software Documentation are being licensed to U.S. Government end users (a) only as Commercial Items and (b) with only those rights as are granted to all other end users pursuant to the terms and conditions herein.   9. Except to the extent expressly provided in the following paragraph, this Agreement and the relationship between you and Pro Contractors Club shall be governed by the laws of the State of California, excluding its conflicts of law provisions. You and Pro Contractors Club agree to submit to the personal and exclusive jurisdiction of the courts located within the county of Orange, California, to resolve any dispute or claim arising from this Agreement. If (a) you are not a U.S. citizen; (b) you do not reside in the U.S.; (c) you are not accessing the Service from the U.S.; and (d) you are a citizen of one of the countries identified below, you hereby agree that any dispute or claim arising from this Agreement shall be governed by the applicable law set forth below, without regard to any conflict of law provisions, and you hereby irrevocably submit to the non-exclusive jurisdiction of the courts located in the state, province or country identified below whose law governs:

Specifically excluded from application to this Agreement is that law known as the United Nations Convention on the International Sale of Goods.

 

  1. ADDITIONAL REAL TIME PRO CONTRACTORS CLUB E-BOOKS TERMS

You acquire Real Time Pro Contractors Club EBooks Content from the third-party provider of such Content (the “Publisher”), not the Pro Contractors Club. The Pro Contractors Club acts as an agent for the Publisher in providing Real Time Pro Contractors Club EBooks Content to you, and therefore the Pro Contractors Club is not a party to the Transaction between you and the Publisher. If you are a customer of the Pro Contractors Club, the merchant of record is the Pro Contractors Club, which means that you acquire a license to use the Content from the Pro Contractors Club, but the Content is licensed by the Publisher. The Publisher of the Real Time Pro Contractors Club EBooks Content reserves the right to enforce the terms of use relating to such Real Time Pro Contractors Club EBooks Content. The Publisher of the Real Time Pro Contractors Club EBooks Content is solely responsible for such Content, any warranties to the extent that such warranties have not been disclaimed, and any claims that you or any other party may have relating to such Content.

  1. ADDITIONAL REAL TIME PRO CONTRACTORS CLUB TERMS

REAL TIME PRO CONTRACTORS CLUB MEMBERSHIP

The Pro Contractors Club is a subscription service. Your Real Time Pro Contractors Club membership will automatically renew until you turn off automatic renewal by notification. See the “Subscriptions” section for more details. When your Real Time Pro Contractors Club membership ends, you will lose access to any feature of the Pro Contractors Club that requires a membership, including but not limited to access to the Pro Contractors Club information on your device. The Pro Contractors Club reserves the right to cancel your Pro Contractors Club membership if we are unable to successfully charge your payment method to renew your membership.

Where available, you may be offered a Pro Contractors Club membership through a distributor. If you purchase a Distributors Membership, your distributor will bill you for the cost of your Pro Contractors Club membership. Your billing relationship with the distributor is governed by the distributor’s terms and conditions, not this Agreement, and any billing disputes related to a Distributor Membership must be directed to your distributor, not the Pro Contractors Club. By using the Pro Contractors Club, you agree that the distributor may exchange your account information, telephone number and subscription information with the Pro Contractors Club, and that the Pro Contractors Club may use this information to determine the status of your Distributor Membership.

 

  1. MISCELLANEOUS TERMS APPLICABLE TO ALL SERVICES

DEFINITION OF REAL TIME PRO CONTRACTORS CLUB

Depending on your Home Country, “Real Time Pro Contractors Club” means:

The Pro Contractors Club., located at 7755 Center Ave. 11th Floor, Huntington Beach, California, for users in North, Central, and South America (including Canada for use of Real Time Pro Contractors Club), as well as United States territories and possessions; and French and British possessions in North America, South America, and the Caribbean;

CONTRACT CHANGES

The Pro Contractors Club reserves the right at any time to modify this Agreement and to add new or additional terms or conditions on your use of the Services. Such modifications and additional terms and conditions will be effective immediately and incorporated into this Agreement. Your continued use of the Services will be deemed acceptance thereof.

THIRD-PARTY MATERIALS

The Pro Contractors Club is not responsible or liable for third party materials or services included within or linked from the Content or the Service Providers.

INTELLECTUAL PROPERTY

You agree that the Services, including but not limited to Content, graphics, user interface, audio clips, video clips, editorial content, and the scripts and software used to implement the Services, contain proprietary information and material that is owned by the Pro Contractors Club and/or its licensors, and is protected by applicable intellectual property and other laws, including but not limited to copyright. You agree that you will not use such proprietary information or materials in any way whatsoever except for use of the Services for personal, noncommercial uses in compliance with this Agreement. No portion of the Services may be reproduced in any form or by any means, except as expressly permitted by this Agreement. You agree not to modify, rent, loan, sell, or distribute the Services or Content in any manner, and you shall not exploit the Services in any manner not expressly authorized.

The Pro Contractors Club name, the Pro Contractors Club logo, website, Digital Store, Real Time Pro Contractors Club EBooks, Real Time Pro Contractors Club Workshops, and other Real Time Pro Contractors Club trademarks, service marks, graphics, and logos used in connection with the Services are trademarks or registered trademarks of the Pro Contractors Club in the U.S. and other countries throughout the world. You are granted no right or license with respect to any of the aforesaid trademarks.

TERMINATION AND SUSPENSION OF SERVICES

If you fail, or the Pro Contractors Club suspects that you have failed, to comply with any of the provisions of this Agreement, the Pro Contractors Club may, without notice to you: (i) terminate this Agreement and/or your Real Time Pro Contractors Club ID, and you will remain liable for all amounts due under your Real Time Pro Contractors Club ID up to and including the date of termination; and/or (ii) terminate your license to the software; and/or (iii) preclude your access to the Services.

MORALITY

It is understood and agreed by and between the parties that members shall at all times during the term of this Agreement, refrain and abstain entirely from any act or do anything which might reasonably be considered: (i) to be immoral, deceptive, scandalous or obscene; or (ii) to injure, tarnish, damage or otherwise negatively affect the reputation and goodwill associated with Pro Contractors Club or any members of the Pro Contractors Club.

It is understood and agreed by and between the parties that if at any time during the period of this Agreement commits any act considered (i) to be immoral, deceptive, scandalous or obscene; or (ii) to injure, tarnish, damage or otherwise negatively affect the reputation and goodwill associated with Pro Contractors Club or any members of the Pro Contractors club; Pro Contractors Club may cancel and terminate your membership immediately.

The Pro Contractors Club further reserves the right to modify, suspend, or discontinue the Services (or any part or Content thereof) at any time with or without notice to you, and Real Time Pro Contractors Club will not be liable to you or to any third party should it exercise such rights.

 

DISCLAIMER OF WARRANTIES; LIABILITY LIMITATION

THE PRO CONTRACTORS CLUB DOES NOT GUARANTEE, REPRESENT, OR WARRANT THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, AND YOU AGREE THAT FROM TIME TO TIME THE PRO CONTRACTORS CLUB MAY REMOVE THE SERVICES FOR INDEFINITE PERIODS OF TIME, CANCEL THE SERVICES AT ANY TIME, OR OTHERWISE LIMIT OR DISABLE YOUR ACCESS TO THE SERVICES WITHOUT NOTICE TO YOU.

YOU EXPRESSLY AGREE THAT YOUR USE OF, OR INABILITY TO USE, THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES AND ALL CONTENT DELIVERED TO YOU THROUGH THE SERVICES ARE (EXCEPT AS EXPRESSLY STATED BY THE PRO CONTRACTORS CLUB) PROVIDED “AS IS” AND “AS AVAILABLE” FOR YOUR USE, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, THE ABOVE EXCLUSION OF IMPLIED WARRANTIES MAY NOT APPLY TO YOU.

IN NO CASE SHALL THE PRO CONTRACTORS CLUB, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF ANY OF THE SERVICES OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SERVICES AND/OR CONTENT, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES, EVEN IF ADVISED OF THEIR POSSIBILITY. BECAUSE SOME COUNTRIES, STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH COUNTRIES, STATES OR JURISDICTIONS, THE PRO CONTRACTORS CLUB’S LIABILITY SHALL BE LIMITED TO THE EXTENT SUCH LIMITATION IS PERMITTED BY LAW.

THE PRO CONTRACTORS CLUB SHALL USE REASONABLE EFFORTS TO PROTECT INFORMATION SUBMITTED BY YOU IN CONNECTION WITH THE SERVICES, BUT YOU AGREE THAT YOUR SUBMISSION OF SUCH INFORMATION IS AT YOUR SOLE RISK, AND YOU HEREBY RELEASE THE PRO CONTRACTORS CLUBFROM ANY AND ALL LIABILITY TO YOU FOR ANY LOSS OR LIABILITY RELATING TO SUCH INFORMATION IN ANY WAY.

THE PRO CONTRACTORS CLUB DOES NOT REPRESENT OR GUARANTEE THAT THE SERVICES WILL BE FREE FROM LOSS, CORRUPTION, ATTACK, VIRUSES, INTERFERENCE, HACKING, OR OTHER SECURITY INTRUSION, AND YOU HEREBY RELEASE THE PRO CONTRACTORS CLUB FROM ANY LIABILITY RELATING THERETO. YOU SHALL BE RESPONSIBLE FOR BACKING UP YOUR OWN SYSTEM, INCLUDING ANY CONTENT ACQUIRED OR RENTED THROUGH THE SERVICES.

THE PRO CONTRACTORS CLUB IS NOT RESPONSIBLE IN CONNECTION WITH YOUR USE OF THE SERVICES.

WAIVER AND INDEMNITY

BY USING THE SERVICES, YOU AGREE, TO THE EXTENT PERMITTED BY LAW, TO INDEMNIFY AND HOLD THE PRO CONTRACTORS CLUB, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, AND LICENSORS HARMLESS WITH RESPECT TO ANY CLAIMS ARISING OUT OF YOUR BREACH OF THIS AGREEMENT, YOUR USE OF THE SERVICES, OR ANY ACTION TAKEN BY THE PRO CONTRACTORS CLUB AS PART OF ITS INVESTIGATION OF A SUSPECTED VIOLATION OF THIS AGREEMENT OR AS A RESULT OF ITS FINDING OR DECISION THAT A VIOLATION OF THIS AGREEMENT HAS OCCURRED. YOU AGREE THAT YOU SHALL NOT SUE OR RECOVER ANY DAMAGES FROM PRO CONTRACTORS CLUB, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, AND LICENSORS AS A RESULT OF ITS DECISION TO REMOVE OR REFUSE TO PROCESS ANY INFORMATION OR CONTENT, TO WARN YOU, TO SUSPEND OR TERMINATE YOUR ACCESS TO THE SERVICES, OR TO TAKE ANY OTHER ACTION DURING THE INVESTIGATION OF A SUSPECTED VIOLATION OR AS A RESULT OF THE PRO CONTRACTORS CLUB’S CONCLUSION THAT A VIOLATION OF THIS AGREEMENT HAS OCCURRED. THIS WAIVER AND INDEMNITY PROVISION APPLIES TO ALL VIOLATIONS DESCRIBED IN OR CONTEMPLATED BY THIS AGREEMENT.

STATUTORY EXCEPTIONS FOR PUBLIC INSTITUTIONS

If you are a qualified public educational or government institution and any part of this Agreement, such as, by way of example, all or part of the indemnification section, is invalid or unenforceable against you because of applicable local, national, state or federal law, then that portion shall be deemed invalid or unenforceable, as the case may be, and instead construed in a manner most consistent with applicable governing law.

GOVERNING LAW

Except to the extent expressly provided in the following paragraph, this Agreement and the relationship between you and the Pro Contractors Club, and all Transactions on the Services shall be governed by the laws of the State of California, excluding its conflicts of law provisions.

DISPUTES AND ARBITRATION

Both parties agree to treat each other fairly in all matters. In the event a dispute is unresolved (after sixty days) to the satisfaction of both parties, both parties agree to submit their claim or controversy, of whatever description, to be settled by arbitration in accordance with the rules of the American Arbitration Association then in force within the county of Orange, California, to resolve any dispute or claim arising from this Agreement.

If the parties cannot agree upon an arbitrator within ten (10) days after demand by either of them, either or both parties may request the American Arbitration Association to name a panel of five (5) arbitrators. Pro Contractors Club shall strike the names of two on the list and, Representative shall then strike two names, and the remaining name shall be the arbitrator. The decision of the arbitrator shall be final and binding arbitration upon the parties both as to law and to fact, and shall not be appealable in any court in any jurisdiction. If (a) you are not a U.S. citizen; (b) you do not reside in the U.S.; (c) you are not accessing the Service from the U.S.; and (d) you are a citizen of another country, you hereby agree that any dispute or claim arising from this Agreement shall be governed by the applicable law set forth above, without regard to any conflict of law provisions, and you hereby irrevocably submit to the non-exclusive jurisdiction of the courts located in the state, province or country identified whose law governs you.

OTHER PROVISIONS

This Agreement constitutes the entire agreement between you and the Pro Contractors Club and governs your use of the Services, superseding any prior agreements with respect to the same subject matter between you and the Pro Contractors Club. You also may be subject to additional terms and conditions that may apply when you use affiliate services, third-party content, third-party software, or additional services such as the Volume Purchase Program. If any part of this Agreement is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect. The Pro Contractors Club’s failure to enforce any right or provisions in this Agreement will not constitute a waiver of such or any other provision. The Pro Contractors Club will not be responsible for failures to fulfill any obligations due to causes beyond its control.

You agree to comply with all local, state, federal, and national laws, statutes, ordinances, and regulations that apply to your use of the Services. Your use of the Services may also be subject to other laws. Risk of loss for all electronically delivered Transactions pass to the acquirer upon electronic transmission to the recipient. No Pro Contractors Club employee or agent has the authority to vary this Agreement.

The Pro Contractors Club may notify you with respect to the Services by sending an email message to your email address or a letter via postal mail to your mailing address, or by a posting on the Services. Notices shall become effective immediately. The Pro Contractors Club may also contact you by email or push notification to send you additional information about the Services.

You hereby grant the Pro Contractors Club the right to take steps the Pro Contractors Club believes are reasonably necessary or appropriate to enforce and/or verify compliance with any part of this Agreement. You agree that the Pro Contractors Club has the right, without liability to you, to disclose any data and/or information to law enforcement authorities, government officials, and/or a third party, as the Pro Contractors Club believes is reasonably necessary or appropriate to enforce and/or verify compliance with any part of this Agreement (including but not limited to the Pro Contractors Club’s right to cooperate with any legal process relating to your use of the Services and/or Content, and/or a third-party claim that your use of the Services and/or Content is unlawful and/or infringes such third party’s rights).
